1. Acceptance of Terms

By accessing or using the services provided by Digital Wealth Management Inc. ("DWM", "we", "us", or "our"), including the platform available at app.digitalwealthmanagement.ca, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not access or use our services.

These Terms apply to all users of DWM services, including individuals who are clients, prospective clients, or visitors to our website.

2. Eligibility

To use DWM services, you must:

• Be at least 18 years of age.
• Be a Canadian resident or otherwise legally permitted to use our services.
• Successfully complete our identity verification (KYC) process before accessing custody or lending features.
• Not be a person prohibited from using financial services under applicable Canadian law.

3. Services

DWM provides Bitcoin custody services and collateral-backed lending products. Specific terms, fees, and conditions applicable to each product are set out in separate agreements provided to you at the time of onboarding or prior to entering into any lending arrangement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

4. Custody of Bitcoin

• Bitcoin deposited with DWM is held in custody on your behalf. You retain beneficial ownership of your Bitcoin at all times, subject to the terms of your custody agreement.
• DWM does not commingle client assets with its own assets.
• Client assets held as collateral for a loan are subject to the terms of the applicable loan agreement, including liquidation provisions in the event of loan-to-value threshold breaches.
• Bitcoin is a volatile asset. DWM does not provide investment advice and is not responsible for changes in the value of your Bitcoin.

5. Lending Products

Bitcoin-backed loans are subject to separate loan agreements that specify interest rates, loan-to-value (LTV) ratios, margin call thresholds, repayment schedules, and liquidation terms. By entering into a loan agreement, you acknowledge and accept the risks associated with collateral-backed lending, including the risk of liquidation of your Bitcoin collateral.

6. Prohibited Conduct

You agree not to:

• Use our services for any unlawful purpose or in violation of any regulation.
• Attempt to launder money or finance illegal activities.
• Provide false or misleading information during registration or KYC verification.
• Attempt to gain unauthorized access to our systems or interfere with our platform's operation.
• Use our services to circumvent sanctions or export control regulations.

7. Fees

DWM charges fees for custody and lending services as set out in the applicable service agreement or fee schedule provided to you. We reserve the right to update our fee schedule upon reasonable written notice. Continued use of our services after a fee change constitutes acceptance of the new fees.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DWM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of our services, even if DWM has been advised of the possibility of such damages.

DWM's total aggregate liability to you for any claims arising under these Terms shall not exceed the fees paid by you to DWM in the twelve (12) months preceding the event giving rise to the claim.

9. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. DWM does not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We are not a registered investment adviser and nothing on our platform constitutes investment advice.

10. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at legal@digitalwealthmanagement.ca if you suspect any unauthorized access to your account.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

12. Changes to These Terms

We may revise these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and notifying registered clients by email. Your continued use of our services after the effective date of any changes constitutes your acceptance of the revised Terms.
